Limited liability companies (LLCs) are generally formed for specific purposes such as doing certain business overseas, paying taxes, paying debts, buying property, donating property to charitable organizations etc. In some cases an LLC can incorporate more than one person as an entity. The advantage of having an LLC rather than a typical corporation is that it can adopt the open corporation formation. Nowadays most businesses prefer to have an LLC rather than a typical corporation because of several advantages of an LLC has over corporations. Firstly, it is easier to set up and maintain an LLC as compared to a corporation. Another reason why many businesses prefer to set up an LLC rather than a traditional corporation is because of tax benefits. It has been proven that when an LLC forms, the owners usually pay half the tax rate as opposed to when an individual or an entity owns a majority share in the business structure. Every state may require an individual or a company to be registered as a sole proprietorship. A sole proprietorship is when there is only one owner, whereas in a corporation it is when there are more than owners. It is necessary for every individual who wants to run a business to first obtain the business registration form from the Secretary of State in the state in which he plans to open an office. If you are planning to set up a limited liability company then you should first obtain the business registration form from the office of the Secretary of State in your intended state. Then the next step is to approach the office of the Secretary of State in the state in which you plan to do business and fill in the application form. You may need to attend an interview with the agent who handles business registrations and you may be asked to provide further information that will be verified by the agent. Business Registration does not end with the filing of the application form but it does not mean that you are done with it. Your business registration paperwork is not just about paying the taxes. Aside from paying the tax, you have to pay the income taxes (if you have any) and you must also pay other taxes applicable to the area in which you are running your business.
